feel like a total moron... found the problem:

Well... when I changed the oil about a month ago... I kina didnt tighten the oil plug tight enough. And after about a month or so of driving it slowly leaked down to about 1 1/2 qts left.

topped it back off... knock pretty much gone.

      Damn these 4.6's are tough.

Go ahead... let me have it.

tsk tsk for not checking your oil. Don't those newer cars have a check oil lamp?

This reminds me: I have to change my oil. I put a 10W30 blend, only to realize after the fact that it calls for 5w30 (about 3,500mi ago)...the valves click a tiny bit on cold start-up. I'm hopping it's only the thicker oil that is causing it, and if not then I have a great excuse to get PI heads and some mild cams.

Shit son, if you checked it a few weeks ago and it's down that far...well I suppose it depends on what your definition of a few is....but anyway if it's using that much I would start checking it every day. Also, keep an eye out for oil leaks under where you park it.

check oil lamp only comes on if there's no pressure, and the sensor is at the filter so even if it's low enough to make noise it still may have pressure at the sensor.

yea, fucked up design i know, pressure sensor should be in the valvetrain on those engines but meh, what do i know

If its slight tick on start up for a couple of seconds its normal. We have [3] 4.6's in the family [05 TO 07] and all three do it. It might not do it everyday but usually hear it several times a week. Plus we are all using 5W20 Full Synthetic oil with Motorcraft filters. My 99 Marquis did it quite a bit also and my friends 98 Marquis has been doing now for over 10 years.

Not sure if our '94 has it or not. It probably does, but I don't pay mind to any indicator lights. If they aren't on while driving, then that's fine by me. Next time I get in it I'll check and see. If there is one, maybe your sender is bad, your wire for it is grounded or something. Or most likely the bulb in the dash is out.
